License Agreement

Welcome to Blocks.serp.co, your premier themed component library. By using our components, you agree to the terms outlined in this license.

General Terms

1. Definitions

  • "Components" refers to the themed UI components, code, and related assets provided by Blocks.serp.co.
  • "Licensee" refers to the individual or entity obtaining a license to use the Components.
  • "Project" refers to any software application, website, or digital product developed by the Licensee using the Components.

2. Grant of License

Blocks.serp.co grants the Licensee a non-exclusive, non-transferable, revocable license to use the Components in accordance with the terms of the specific license type (Individual or Team) purchased.

3. Ownership

Blocks.serp.co retains all rights, title, and interest in and to the Components, including all intellectual property rights. This license does not transfer any ownership of the Components to the Licensee.

4. Restrictions

  • You may not sublicense, resell, rent, lease, or otherwise transfer the Components on a standalone basis.
  • You may not use the Components to create a competing product or service, such as a component library, UI kit, or website builder, where the primary value is derived from the Components themselves.
  • You may not use the Components in any way that violates applicable laws or regulations.
  • You may not remove any copyright or proprietary notices from the Components.

Individual License

For solo developers and freelancers

The Individual License grants you, a single developer, the power to harness the full potential of Blocks.serp.co components in your projects.

What You Can Do:

  • Craft unlimited projects for yourself and your clients using our themed components.
  • Customize and adapt our components to fit your unique vision.
  • Incorporate our components into your commercial projects, as long as they're part of a larger, value-added solution.

What You Can't Do:

  • Redistribute our components as standalone items.
  • Share your license or allow others to use the components under your license.
  • Use our components in website builders or similar tools where end-users can directly access and use our components.

5. Disclaimer of Warranties

THE COMPONENTS ARE PROVIDED "AS IS," WITHOUT WARRANTY OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO THE WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NONINFRINGEMENT. IN NO EVENT SHALL BLOCKS.SERP.CO BE LIABLE FOR ANY CLAIM, DAMAGES, OR OTHER LIABILITY, WHETHER IN AN ACTION OF CONTRACT, TORT, OR OTHERWISE, ARISING FROM, OUT OF, OR IN CONNECTION WITH THE COMPONENTS OR THE USE OR OTHER DEALINGS IN THE COMPONENTS.

6. Limitation of Liability

IN NO EVENT SHALL BLOCKS.SERP.CO BE LIABLE FOR ANY DIRECT, INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR EXEMPLARY DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF PROFITS, GOODWILL, USE, DATA, OR OTHER INTANGIBLE LOSSES (EVEN IF BLOCKS.SERP.CO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES), RESULTING FROM: (I) THE USE OR THE INABILITY TO USE THE COMPONENTS; (II) THE COST OF PROCUREMENT OF SUBSTITUTE GOODS AND SERVICES RESULTING FROM ANY GOODS, DATA, INFORMATION, OR SERVICES PURCHASED OR OBTAINED OR MESSAGES RECEIVED OR TRANSACTIONS ENTERED INTO THROUGH OR FROM THE COMPONENTS; (III) UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR TRANSMISSIONS OR DATA; (IV) STATEMENTS OR CONDUCT OF ANY THIRD PARTY ON THE COMPONENTS; OR (V) ANY OTHER MATTER RELATING TO THE COMPONENTS.

7. Indemnification

You agree to indemnify, defend, and hold harmless Blocks.serp.co, its affiliates, officers, directors, employees, and agents from and against any and all claims, liabilities, damages, losses, costs, and expenses, including reasonable attorneys' fees, arising out of or in any way connected with your access to or use of the Components, your violation of this License Agreement, or your infringement of any intellectual property or other right of any third party.

8. Termination

This License Agreement is effective until terminated. Blocks.serp.co may terminate this License Agreement at any time if you breach any of its terms. Upon termination, you must cease all use of the Components and destroy all copies, full or partial, of the Components.

9. Governing Law

This License Agreement shall be governed by and construed in accordance with the laws of the jurisdiction where Blocks.serp.co is located, without regard to its conflict of law principles.

By using Blocks.serp.co components, you acknowledge and agree to abide by the terms outlined in this license agreement. We reserve the right to modify these terms at any time, and it is your responsibility to stay informed of any changes.
